# Agreement

GraphQL object

A legal agreement such as a license, option, NDA, or material transfer
agreement, with its parties, terms, and linked matters.

## Fields

- `accountLeadInstitution` — Whether the account is the lead institution.
- `accountPastPatentExpenses` — The patent expenses the account incurred before the agreement.
- `accountShareOfNetConsideration` — The percentage of net consideration owed to the account.
- `accountShareOfPatentCost` — The percentage of patent costs borne by the account.
- `adminFeeAmount` — The fixed administrative fee.
- `adminFeeCap` — The maximum administrative fee.
- `adminFeePercentage` — The administrative fee as a percentage.
- `agreementAccountClassifications` — The links between the agreement and its account classifications.
- `agreementClassifications` — The links between the agreement and its global classifications.
- `agreementContacts` — The contacts involved in the agreement.
- `agreementDocumentsSummary` — A summary of the documents attached to the agreement.
- `agreementJurisdictions` — The jurisdictions the agreement covers.
- `agreementMatters` — The links between the agreement and the disclosures, filings, and patents it covers.
- `agreementNumber` — The agreement's number, assigned by the account.
- `agreementOrganizations` — The organizations party to the agreement.
- `agreementTerms` — The agreement's financial terms.
- `amendedAgreementId` — The unique identifier of the agreement this one amends.
- `amendedAt` — The date the agreement was last amended.
- `amendedByUser` — The user who last amended the agreement.
- `amendmentReason` — The reason the agreement was last amended.
- `archivedAt` — The date the agreement was archived. Returns null if the agreement is active.
- `archivedByUser` — The user who archived the agreement.
- `beginOn` — The date the agreement term begins.
- `commentsCount` — The number of comments on the agreement.
- `createdAt` — The agreement's creation date.
- `createdByUser` — The user who created the agreement.
- `createdByUserId` — The unique identifier of the user who created the agreement.
- `currency` — The ISO 4217 currency code used by the agreement's monetary fields.
- `description` — The agreement's description.
- `effectiveOn` — The date the agreement takes effect.
- `executionOn` — The date the agreement was executed.
- `expirationOn` — The date the agreement expires.
- `externalId` — The agreement's identifier in an external system. Set when the agreement is imported.
- `fieldOfUse` — The field of use granted by the agreement.
- `fieldsOfUseTaggings` — The field-of-use tags applied to the agreement.
- `id` — The agreement's unique identifier.
- `lawFirm` — The law firm handling the agreement.
- `licenseTypeEnum` — The exclusivity of the license.
- `licensingIncomeSharePercentage` — The percentage of licensing income kept by the account.
- `licensingIncomeThreshold` — The income threshold above which the income share applies.
- `materialDescription` — A description of the material transferred. Applies to material transfer agreements.
- `materialDirectionEnum` — Whether material is incoming or outgoing. Applies to material transfer agreements.
- `materialFieldOfUse` — The field of use for the transferred material. Applies to material transfer agreements.
- `materialTitle` — The title of the material transferred. Applies to material transfer agreements.
- `matterDocumentsCount` — The number of documents attached to the agreement.
- `ndaExchangeTypeEnum` — The direction of the information exchange. Applies to NDAs.
- `ndaPurpose` — The purpose of the disclosure. Applies to NDAs.
- `netPaymentTerms` — The number of net payment term units. See `netPaymentTermsLengthEnum` for the unit.
- `netPaymentTermsLengthEnum` — The unit of the net payment terms, such as days or months.
- `patentExpenseCap` — The maximum reimbursable patent expense.
- `requestedOn` — The date the agreement was requested.
- `signatureOn` — The date the agreement was signed.
- `sourceEnum` — How the agreement was created, such as manually or by import.
- `statusLookup` — The agreement's status. A global or account-specific lookup value.
- `subLicensing` — Whether sub-licensing is permitted.
- `subLicensingFeePercentage` — The fee on sub-licensing income as a percentage.
- `subLicensingQualification` — The conditions under which sub-licensing is allowed.
- `subTypeEnum` — The agreement's sub-type within its type.
- `terminatedOn` — The date the agreement was terminated.
- `thirdPartyInterest` — Whether a third party has an interest in the agreement.
- `thirdPartyInterestNotes` — Notes about third-party interests.
- `title` — The agreement's title.
- `typeEnum` — The agreement's type, such as license, option, NDA, or MTA.
- `updatedAt` — The date the agreement was last updated.
- `updatedByUser` — The user who last updated the agreement.
- `updatedByUserId` — The unique identifier of the user who last updated the agreement.
